1. ACCEPTANCE OF TERMS
Welcome to GURAZON (“Platform,” “we,” “us,” or “our”). These Terms & Conditions of Use (“Terms”) govern your access to and use of the GURAZON website, services, and applications (collectively, the “Services”). By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
If you do not agree to all of these Terms, you are not authorized to use the Services. These Terms constitute a legally binding agreement between you and GURAZON.
2. DEFINITIONS

“Buyer” means a user who purchases items on the Platform.

“Vendor” or “Seller” means a user who lists and sells items on the Platform.

“User,” “You,” “Your” means any person accessing or using the Services, whether as a Buyer, Vendor, or browser.

“Content” means any text, graphics, images, music, software, audio, video, information, or other materials posted on the Services.

“User Content” means Content that a User submits, transmits, or posts to the Services.

“Transaction” means the agreement between a Buyer and a Vendor for the sale of an item facilitated by the Platform.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Eligibility
To use the Services, you must:

Be at least 18 years of age.

Have the legal capacity to form a binding contract.

Not be barred from receiving services under applicable law.

Use the Services only for lawful purposes.
3.2 Account Creation
You must provide accurate, current, and complete information during registration and keep your account updated. You are solely responsible for:

Maintaining the confidentiality of your account credentials.

All activities and transactions that occur under your account.

Ensuring you log out at the end of each session.
You must notify GURAZON immediately of any unauthorized use of your account or any other security breach. GURAZON will not be liable for any loss or damage arising from your failure to comply with this section.
4. NATURE OF THE PLATFORM; YOUR RELATIONSHIP WITH US
4.1 Marketplace Venue
GURAZON operates as an online marketplace that enables connections between independent Vendors and Buyers. GURAZON IS NOT A PARTY TO ANY TRANSACTION BETWEEN USERS. The contract for sale is directly between the Buyer and the Vendor. GURAZON is not a traditional retailer or auctioneer.
4.2 No Agency or Employment
No agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship is intended or created by these Terms between GURAZON and any User or Vendor.
4.3 Platform Role and Limitations
While we provide the venue and tools, GURAZON does not:

Manufacture, sell, or hold title to any items listed.

Pre-screen, endorse, or guarantee the accuracy of Vendor listings.

Assume any responsibility for the quality, safety, morality, or legality of any aspect of listed items.

Ensure that a Buyer or Vendor will complete a Transaction.
Users assume all risks associated with dealing with other users whom they come into contact with through the Services.
5. USER CONDUCT AND PROHIBITED USE
You agree not to use the Services to:
5.1 General Prohibitions

Violate any applicable local, state, national, or international law or regulation.

Infringe upon the intellectual property, privacy, or other rights of any third party, including GURAZON.

Engage in harassment, threats, intimidation, or stalking.

Transmit viruses, malware, or any other malicious code.

Interfere with or disrupt the integrity or performance of the Services.
5.2 Marketplace-Specific Prohibitions

Circumvent Fees: Attempt to complete a Transaction off the Platform to avoid paying fees.

Fee Evasion: Provide false or misleading information to evade fees.
-
Interference: Interfere with another user’s listing or transaction.
-
Manipulation: Manipulate the price of any item or interfere with other users’ listings.
-
False Identity: Use the Services under a false name or impersonate any person or entity.
6. LISTING AND SELLING CONDITIONS (FOR VENDORS)
By listing an item for sale on GURAZON, you represent, warrant, and agree that:
6.1 Listing Accuracy

You provide accurate, truthful, and complete descriptions and images of the item.

You set a fair price and clear shipping terms.

The item complies with our Prohibited Items Policy and all applicable laws.
6.2 Sale and Fulfillment

You are responsible for shipping the sold item promptly, providing tracking, and using commercially reasonable packaging.

You are responsible for handling customer service, returns, and refunds according to your own clearly stated shop policies and applicable law.

You are solely responsible for calculating, collecting, and remitting any and all taxes (sales, VAT, etc.) associated with your sales.
7. BUYING CONDITIONS (FOR BUYERS)
By purchasing an item on GURAZON, you agree that:
7.1 Purchase Agreement

You are entering into a legally binding contract to purchase the item from the Vendor.

You have read the item description and shop policies before committing to buy.

You agree to pay the full price listed, plus any applicable shipping and taxes.
7.2 Payment Authorization
When you initiate a Transaction, you authorize GURAZON (or our designated third-party payment processor) to charge your chosen payment method for the total amount. Payment is collected by GURAZON on behalf of the Vendor.
8. FEES, BILLING, AND PAYMENTS
8.1 Responsibility for Fees
Vendors are responsible for paying all fees associated with using our Services as outlined in the Fee Schedule available on our website. Fees may include listing fees, transaction fees, and payment processing fees.
8.2 Fee Changes
GURAZON reserves the right to change its fee structure at any time. Fee changes will be effective after we provide you with at least 30 days’ notice via the Services or by email.
8.3 No Refunds of Fees
Except as required by law or at our sole discretion, all fees paid to GURAZON are non-refundable.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 Platform Ownership
The Services, including their “look and feel,” design, software, and all Content owned or licensed by GURAZON (“GURAZON Content”), are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of any GURAZON Content without our express prior written consent.
9.2 License to Your Content
By posting User Content, you grant GURAZON a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable license to use, display, reproduce, and distribute such User Content in connection with operating and promoting the Services.
9.3 Copyright Infringement (DMCA)
We respect intellectual property rights. If you believe your work has been copied in a way that constitutes infringement, please follow our Intellectual Property Policy for reporting procedures.
10. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
10.1 “As Is” Disclaimer
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GURAZON DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GURAZON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR USE OR INABILITY TO USE THE SERVICES;

ANY TRANSACTION OR RELATIONSHIP BETWEEN USERS;

UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES.
10.3 Cap on Liability
OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU HAVE PAID TO GURAZON IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS (USD $100).
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless GURAZON and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your access to or use of the Services;

Your violation of these Terms;

Your User Content;
-
Your interaction with any other User;
-
Your violation of any law or the rights of a third party.
